Terms of Service

Pre-launch draft. This document contains placeholders that must be completed, and reviewed by qualified counsel, before publication. It is not legal advice.

These Terms of Service (“Terms”) govern your access to and use of the hype.gg website, waitlist and application (together, the “Service”), operated by hype.gg (“hype.gg”, “we”, “us”). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. You may not use the Service if you are located in, or are a resident or national of, a jurisdiction in which access would be unlawful, or if you appear on any applicable sanctions list.

2. The Service

The Service provides a software interface through which you may create or connect a blockchain wallet, fund it, view public on-chain activity of other wallets, and submit transactions of your own. We are a technology provider. We are not a broker, dealer, exchange, investment adviser, financial adviser, custodian or fiduciary, and we do not execute trades on your behalf other than by routing instructions you initiate.

Certain features described on our marketing pages are in development and may change, be delayed or be withdrawn. Joining the waitlist does not entitle you to access.

3. Accounts and security

You are responsible for maintaining the confidentiality of your credentials, devices and any keys or key shares within your control, and for all activity that occurs under your account. Notify us promptly at hello@hype.gg of any unauthorised access. We may suspend or terminate access where we reasonably suspect fraud, abuse or a security risk.

4. Wallets, keys and custody

The custody model states whether the Service is custodial or non-custodial, who holds private keys or key shares, how recovery works, and whether you can export keys. Marketing claims about custody match this section.

Blockchain transactions are irreversible. We cannot cancel, reverse or recover a transaction once it has been broadcast, and we cannot recover assets sent to an incorrect address.

5. Copy trading and social features

The Service may allow you to follow other wallets and to mirror their activity automatically or on request. You are solely responsible for every transaction executed from your wallet, including transactions triggered by rules or automations you configure. Past performance of any wallet, trader or strategy is not indicative of future results.

Users you follow are not our employees or agents. We do not verify their identity, intentions or judgment, do not endorse them, and do not guarantee that a mirrored transaction will execute at the same time, price or size as the transaction it follows.

6. No advice; risk disclosure

Nothing on the Service constitutes investment, financial, legal or tax advice, or a recommendation to buy or sell any asset. Digital assets are highly volatile and speculative. You may lose some or all of the value of your assets. Risks include, without limitation: price volatility; illiquidity; total loss of capital; smart contract defects and exploits; network congestion, downtime, forks and reorganisations; failed or front-run transactions; fraudulent or worthless tokens; and adverse changes in law or regulation.

You are responsible for determining what taxes apply to your activity and for reporting and paying them.

7. Fees

Fees applicable to the Service are disclosed in the application and on our Transparency page before you confirm a transaction. Fees may change on prospective notice. Network fees, third-party payment processing fees and price impact or spread are separate from our fees, may vary with network conditions, and are not refundable.

8. Acceptable use

You agree not to: use the Service for money laundering, terrorist financing, fraud, market manipulation or any unlawful purpose; impersonate another person or misrepresent your identity; interfere with, probe or overload our infrastructure; scrape or reverse engineer the Service except as permitted by law; circumvent access controls or geographic restrictions; or use the Service to publish unlawful, abusive or infringing content.

9. Third parties

The Service depends on third-party networks, protocols, liquidity venues, data providers and payment processors. We do not control them and are not responsible for their acts, omissions, outages, fees or terms. Your use of a third-party service may be governed by that party’s own agreement.

10. Intellectual property

The Service, including its software, design, trade marks and content, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for its intended purpose. You retain rights in content you submit and grant us a licence to host and display it as needed to operate the Service.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy of data, or uninterrupted or error-free operation. We do not warrant that any transaction will execute at a particular time, price or size.

12. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, trading losses, or loss of digital assets, arising from or relating to the Service. Our aggregate liability for all claims will not exceed the greater of the fees you paid to us in the six months preceding the event giving rise to the claim, or the applicable statutory minimum. Some jurisdictions do not permit certain limitations, in which case the limitations apply to the fullest extent permitted.

13. Indemnity

You agree to indemnify and hold harmless hype.gg and its officers, directors, employees and agents from any claim, demand, loss or expense, including reasonable legal fees, arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

14. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, where we reasonably believe you have breached these Terms, where required by law, or where continued access presents a legal, security or operational risk. Provisions that by their nature should survive termination will survive.

15. Changes to these Terms

We may amend these Terms from time to time. Material changes will be notified through the Service or by email, and the date above will be revised. Continued use after an amendment constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of the operating entity’s home jurisdiction, without regard to conflict of law rules. Disputes will be resolved by the courts or arbitration forum specified at launch.

17. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing or sale of assets.
